Même s’il est possible de renoncer au secret professionnel en partie seulement, il faut que cette renonciation donne un portrait complet d’une question donnée
L’Honorable juge Joël A. Silcoff est saisi d’une requête de nature déclaratoire par laquelle les Défenderesses lui demandent de statuer sur la possibilité pour elles de renoncer partiellement au secret professionnel afin de présenter une preuve sur l’interprétation à donner à un contrat. Cependant, cette renonciation serait limitée non seulement quant à un sujet particulier, mais également pour une période de temps spécifique.
 Neither party disputes, in principle, Defendants’ right to make a voluntary partial waiver of attorney-client privilege on limited basis, that is, with respect to a particular well defined subject matter. What is contested in the context of the present proceedings, however, is Defendants’ right to place temporal limitations on the subject matter of the contemplated waiver that would exclude disclosure relevant and related privileged information coming into existence after July 4, 2008.
 Therein lies the raison d’être for Defendants’ Motion. For good and valid reason, Defendants are concerned that should they make the proposed voluntary explicit partial waiver of privilege, in the interests of fairness, they may be deemed to have made, as well, an implicit waiver necessitating the disclosure of all other privileged information related to the broad subject matter over which privilege has been waived, regardless of their self-imposed temporal constraints.
 For all these reasons, the Court considers the temporal limitation on the subject matter of the contemplated waiver of attorney-client privilege proposed by Defendants would be unfair, possibly lead the Court in error and accordingly is untenable in law. It is likely that the evidence which came into existence prior to as well as following the execution of the two agreements would be relevant to their proper interpretation. However, unless waived, this evidence is protected by attorney-client privilege. Should either or both of the parties choose to waive attorney-client privilege in connection therewith, it cannot impose such temporal limitations are suggested by Defendants.
